Melissa Cook is a corporate, commercial and securities lawyer focused on all matters of corporate and securities law including the areas of corporate finance, mergers and acquisitions, private equity, continuous disclosure compliance and general corporate and securities compliance. Melissa also works with private companies and entrepreneurs in navigating business succession planning matters.

Through her extensive experience representing both private and publicly traded issuers, Melissa has acted on behalf of underwriters and dealers in both public and private offerings of equity and debt securities. She also assists clients with corporate governance matters and continuous disclosure compliance obligations, as well as general corporate and commercial matters.  Melissa also has extensive experience in local counsel opinion work in Alberta, Northwest Territories, Nunavut and Yukon and since joining Field, has assisted with hundreds of local counsel opinions.

Having worked on transactions across a broad range of industries, Melissa provides proactive legal advice, anticipating and avoiding challenges and protecting clients from the pitfalls inherent in transactions, no matter the size of the businesses involved.  

Examples of Melissa's more recent published transactional experience include:

  • Acted on behalf of an oil and gas inspection services corporation, in respect of a share sale transaction with an aggregate purchase price of over $40 million.
  • Acted on behalf of a personal services corporation, in respect of an asset sale transaction with an aggregate purchase price of over $10 million.
  • Acted on behalf of an oilfield services corporation, in respect of a share sale transaction with an aggregate purchase price of up to $15.3 million.
  • Acted on behalf of a corporation that acquired Alberta based oil and natural gas properties for over $13 million.
  • Acted on behalf of Divestco Inc., a TSX Venture Exchange (TSXV) listed corporation, in respect of a $6.4 million asset disposition. 
  • Acted as Northern local counsel for the acquirer of a Northern based diamond mining company for over
    $500 million.
  • Assisted as special counsel on a $25 million share transaction, including rectification of corporate records through a court order of the Court of Queen's Bench of Alberta.
  • Assisted Platinum Communications Corporation, a TSXV telecommunications issuer, with a disposition by way of a plan of arrangement.
  • Acted on behalf of a corporation that acquired an Alberta based construction company for over $10 million.
  • Assisted a Toronto Stock Exchange (TSX) listed oil and gas issuer on its acquisition by way of plan of arrangement and concurrent spin-out of a TSXV listed corporation.
  • Assisted a TSX listed oil and gas issuer on its $89 million acquisition of oil and gas assets and public offering of subscription receipts for gross proceeds of $100 million in relation to financing the acquisition.
